End User License Agreement (EULA)

1) Grant of license. The DTL system ("DTL") is licensed, not sold or given, to you (the “Licensee”) for use only under the terms of this license, and the Licensor (the "Licensor") reserves all rights not expressly granted to you. The Licensor and the Licensee are hereinafter collectively referred to as the ‘Parties’. This license (the “Agreement”) grants you the right to use DTL for your personal or commercial use, but does not grant you the right to sublicense, sell, or distribute DTL to any third party without the express written consent of the Licensor.
Two Licensee types are defined:
a. Commercial: Companies with a gross annual turnover of more than $100,000 per year are required to pay a $300 fee for the licence.
b. Indie: Individual users and companies with a gross annual turnover of less than $100,000 per year can download and use the DTL system whether or not they make a donation.
By downloading or installing DTL or any part thereof, you also agree to take all reasonable steps to prevent the acquisition of DTL or any part thereof by any third party. By completing a purchase or download of DTL you are hereby granted a license to use the DTL system for the sole purpose of creating converted 3D characters (“Converted 3D Characters”). A Converted 3D Character is a work that can be incorporated into a product that is larger in scope, hereinafter referred to as an “End Product”.

2) Restrictions. You may not copy, modify, distribute, sell, or transfer DTL or any portion thereof without the express written consent of the Licensor. You may not reverse engineer, decompile, or disassemble DTL, except to the extent that such activity is expressly permitted by applicable law. The DTL system also includes a set of associated text configuration files. Within these configuration files and within the scripts, two sets of parameters are defined: the joint angles used to drive JCMs and the modified joint orientations (the "DTL Parameters"). The Licensor has invested significant time and effort in the discovery of the DTL Parameters and as such asserts copyright on them. This Agreement allows you to use the DTL Parameters solely for the conversion process as performed by DTL and expressly prohibits the reuse or re-purposing of the DTL Parameters in any other way.

3) Age Restrictions. If you are under the age of legal majority where you live, or if applicable law requires that you obtain the consent of a parent or legal guardian to enter into this Agreement, you may use the DTL system only under the supervision of a parent or legal guardian who also agrees to be bound by this Agreement.

4) Termination. This license will terminate automatically if you fail to comply with any of the terms and conditions of this license. Upon termination, you must immediately stop using DTL, destroy all copies of DTL in your possession and stop making copies of or distributing the End Product until you remove any Converted 3D Characters from it.

5) Disclaimer of Warranties. DTL is provided "AS IS" without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The Licensor does not warrant that DTL will meet your requirements or that the operation of DTL will be uninterrupted or error-free.

6) Limitation of Liability. In no event shall the Licensor be liable for any damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use or inability to use DTL, even if the Licensor has been advised of the possibility of such damages.

7) Payment: If you are a paying customer, you are required to make payment as per the agreed terms before using DTL.

8) Permitted Use of Converted 3D Characters. You can modify or manipulate Converted 3D Characters in any way including shape, size, colour, etc. You can combine Converted 3D Characters with other works and make a derivative work from it. The resulting works are subject to the terms of this license. You can do these things as long as the End Product you then create is in accordance with the terms of this agreement. You cannot redistribute Converted 3D Characters in any of the following ways:

  • a. You can't redistribute the Converted 3D Character as stock (free or paid). You can't do this with a Converted 3D Character individually or bundled with other items, including even if you modify the Item. ie, you can't convert a character model, make changes to it, then resell it as your own.
  • b. You can't provide any free download of the Converted 3D Character in any website or electronic devices.
  • c. You can't modify the Converted 3D Character and sell or distribute the modified Converted 3D Character in any form / media whereby its reuse is possible. For example, distribution of a Converted 3D Character in any of the following file formats is prohibited: uasset, .fbx, .dae, .glFT, .glb, .usd or any other file format that would facilitate the transference to or reuse of the Converted Character by a third party.
  • d. You must take reasonable steps to prevent an end user of the End Product to extract the Converted 3D Character and use it separately from the End Product.

Approved distribution of a Converted 3D Character incorporated into an End Product includes, but is not limited to:

  • a. For personal or commercial use
  • b. For advertising or promotional use
  • c. For a website or in any electronic devices
  • d. In broadcast, multimedia or animation
  • e. In mobile apps, books or magazines
  • f. As a 3D Print

More detailed examples of approved End Product distribution or use include:

  • a. As a displayed 3D model used in a mobile phone application as long as the original content is protected from extraction
  • b. As rendered imagery (still or moving) distributed as part of a feature film, commercial, broadcast, or stock photography or other stock media
  • c. As part of a game, virtual reality experience or automated customer support agent as long as the original content is protected from extraction and displays inside the game or experience during normal use
  • d. Resulting as published content within a magazine, website, t-shirt, poster, or similar product
  • e. As part of a physical object such as a toy or physical model

9. Third Party Licensing. For some Converted 3D Characters, a component of the Converted 3D Character will be sourced by the author from elsewhere and different license terms may apply to the component, such as someone else's license or an open source or creative commons license. If so, the component will be identified by the author in the component’s description page or in the component's downloaded files. The other license will apply to that component instead of this license. This license will apply to the rest of the Converted 3D Character. The Licensee understands and agrees that certain digital items may contain third party copyrighted or trademarked material that may require additional licensing, permissions, releases, or rights clearance for any non-editorial use. The Licensee and their legal advisors should consider this and obtain such rights, if necessary, before purchasing, downloading or using DTL.

11. Court Orders. Nothing in this Agreement is intended to require or shall be construed as requiring the Parties to do or fail to do any act in violation of applicable law. The Parties inability, pursuant to a court order, to perform its obligations under this Agreement shall not constitute a breach of this Agreement. In addition, if any portion of this Agreement shall be held by a court of competent jurisdiction to be invalid, void, or otherwise unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by applicable law. The Parties hereto acknowledge that they each have opportunities to have their respective counsels review this Agreement. Accordingly, this Agreement shall be deemed to be the product of both of the Parties hereto, and no ambiguity shall be construed in favour of or against either of the parties hereto.
